These Terms of Service ("Terms") govern your access to and use of Ethel, a content and publishing platform provided by Portage Systems ("we", "us", or "our"). By creating an account, using the service, or subscribing to a paid plan, you agree to these Terms. If you do not agree, do not use Ethel.
By using Ethel, you represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organization you represent. If you use Ethel on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Ethel is a software platform that helps organizations create, manage, and publish content. Features include AI-assisted drafting, transcription of finished podcast episodes, social post generation, content scheduling, and publishing integrations. Ethel does not record, edit, or mix audio or video. You provide the finished recordings and ideas; Ethel helps turn them into articles, show notes, and posts.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when registering, and keep it up to date. You may not share your account credentials or allow others to access your account except through the team invitation features we provide.
You are responsible for the conduct of anyone you invite to your workspace, and for ensuring that your use of Ethel complies with these Terms and all applicable laws.
Ethel Pro is available on a monthly or annual subscription basis. Prices are stated on our pricing page and are subject to change with notice. We offer a 30-day free trial for new workspaces. No credit card is required to start the trial.
Subscriptions automatically renew at the end of each billing period unless you cancel. You may cancel at any time through the billing portal in your Ethel settings or by contacting us. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months or unused trial periods, except where required by law.
All payments are processed by Stripe, our third-party payment processor. We do not store your full credit card number on our servers. You agree to pay all fees associated with your chosen plan and to provide accurate billing information.
You agree to use Ethel only for lawful purposes and in a manner that does not infringe the rights of others, restrict or inhibit anyone else's use of the service, or violate applicable laws. You may not use Ethel to generate, distribute, or publish content that is illegal, harassing, defamatory, fraudulent, discriminatory, or that violates the intellectual property or privacy rights of others.
You may not attempt to reverse engineer, scrape, exploit, or interfere with the service, or use it to send spam, malware, or unauthorized communications. We may suspend or terminate your account for violations of this section.
You retain ownership of all content, data, and materials you upload, create, or publish through Ethel ("Your Content"). We do not claim ownership of Your Content. You grant us a limited license to use, host, process, and display Your Content solely as necessary to operate the service and provide the features you request.
You are responsible for ensuring that Your Content does not violate any law or the rights of any third party, and that you have all necessary rights and permissions to use it within Ethel.
Ethel, its design, code, branding, features, and all related materials are owned by Portage Systems or our licensors and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any license to use our trademarks, logos, or other brand assets without our prior written consent.
AI-generated drafts created by Ethel are provided to you as a starting point. You are responsible for reviewing, editing, and ensuring the final content is accurate and suitable for your purposes before publishing.
Ethel integrates with third-party services such as Stripe, WordPress, social media platforms, podcast hosts, and analytics providers. Your use of these integrations is subject to the terms and policies of those third parties. We are not responsible for the availability, performance, or actions of third-party services, and we do not guarantee that integrations will continue to work if a third party changes its APIs or policies.
We aim to keep Ethel available and reliable, but we do not guarantee uninterrupted access. The service may be unavailable from time to time for maintenance, updates, or circumstances beyond our control. We do not provide an uptime warranty or service-level agreement unless separately agreed in writing.
Ethel is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be error-free, secure, or uninterrupted, or that any content or output will be accurate, complete, or suitable for your needs. You use Ethel at your own risk.
To the fullest extent permitted by law, Portage Systems and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of Ethel, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the service will not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim, or one hundred US dollars if you did not pay anything.
You may close your account at any time by contacting us or using the account deletion features in your settings. We may suspend or terminate your account if you violate these Terms, fail to pay fees when due, or if required by law. Upon termination, your access to the service will end, and we may delete your data in accordance with our Privacy Policy.
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice in Ethel before the changes take effect. Your continued use of Ethel after the effective date of the revised Terms constitutes acceptance of those changes.
These Terms are governed by the laws of the State of Minnesota, without regard to conflict of laws principles. Any dispute arising from these Terms will be resolved exclusively in the state or federal courts located in Minnesota, unless both parties agree to another forum.
